Please read this End-User License Agreement ("Agreement") carefully before accessing or using Chauffeur Elite OS. By accessing the software, you agree to be bound by the terms of this Agreement.

Section 01

License Grant

Subject to the terms of this Agreement and payment of applicable fees, Chauffeur Elite OS ("Licensor") grants you ("Licensee") a limited, non-exclusive, non-transferable, revocable license to access and use the Chauffeur Elite OS software platform ("Software") solely for your internal business operations in the chauffeured transportation industry.

This license does not include the right to sublicense, resell, or otherwise transfer access to the Software to any third party without a separate written white-label agreement executed with the Licensor.

Licensee shall not, directly or indirectly:

Ownership & Intellectual Property

The Software, including all modules, record types, workflows, algorithms, user interfaces, and associated documentation, is the exclusive proprietary property of David Bazan ("IP Holder"). All rights not expressly granted in this Agreement are reserved.

Licensee acknowledges that no ownership interest in the Software is transferred under this Agreement. All intellectual property rights, including copyrights, trademarks, trade secrets, and patents (including provisional applications), remain exclusively with the IP Holder.

Licensee data entered into the Software remains the property of the Licensee. Licensor claims no ownership over Licensee's operational data.

Section 04

Data & Privacy

Chauffeur Elite OS is a multi-tenant platform. Each licensed operator's data is maintained in full isolation — no data is shared between operator instances. The Software implements row-level security controls to enforce this isolation.

Licensor collects only the data necessary to provide, operate, and improve the Software. Licensor does not sell Licensee data to third parties. For full details on data handling, refer to the Chauffeur Elite OS Privacy Policy at chauffeurelite.ai/privacy.

Section 05

Third-Party Integrations

The Software may integrate with third-party services including but not limited to Twilio, QuickBooks Online, Limo Anywhere, FlightAware, Anthropic, DeepL, and Slack. Use of these integrations is subject to the respective terms of service of each third-party provider. Licensor is not responsible for the availability, accuracy, or compliance of third-party services.

Licensee is responsible for maintaining valid accounts and credentials with any third-party services required for their operator configuration.

Section 06

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED.

Section 07

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SOFTWARE.

LICENSOR'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY LICENSEE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Section 08

Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately upon written notice if Licensee breaches any provision of this Agreement. Upon termination, Licensee must cease all use of the Software.

Licensee may terminate this Agreement by discontinuing use of the Software and providing written notice to Licensor. Termination does not entitle Licensee to a refund of any prepaid fees.

Sections 3, 6, 7, and 9 survive termination of this Agreement.

Section 09

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in the State of Wyoming.
